1. Agreement to Terms

Welcome to Chatalystar. These Terms of Service ("Terms") constitute a legally binding agreement between you and Chatalystar Inc. ("Company," "we," "our," or "us") governing your access to and use of our AI companion platform, website, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility and Age Requirement

You must be at least 18 years of age to use Chatalystar.

By using the Service, you represent and warrant that:

• You are at least 18 years old
• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Service under applicable laws
• You will provide accurate and complete registration information

We reserve the right to terminate accounts and deny access to users who do not meet these requirements.

2.1 Creator Age Verification

All human creators on our platform ("Stars") have undergone third-party identity and age verification through Veriff, an independent identity verification service. This verification confirms that every Star is a legal adult (18 years of age or older) before they are permitted to appear on our platform.

• Verification is performed before any creator content is published
• Creators must re-verify periodically to maintain their presence on the platform
• Verification records are maintained in accordance with applicable laws
• Any creator found to have falsified verification will be immediately removed

3. Description of Service

Chatalystar is an AI-powered companion and engagement platform that provides:

• Interactive conversations with AI characters ("Muses") and human creators ("Stars")
• Emotional connection and communication skill development experiences
• Gamification features including bond progression, achievements, and rewards
• Virtual currency system ("Crystals") for in-platform transactions
• Educational and entertainment content
• Community features and personalization options

4. AI-Generated Content Disclaimer

All characters on Chatalystar are artificial intelligence programs. They are not real people. You acknowledge and understand that:

• AI responses are generated by machine learning algorithms
• Characters do not have consciousness, feelings, or genuine emotions
• Interactions are for entertainment and educational purposes only
• AI-generated content may occasionally be inaccurate, inconsistent, or unexpected
• The Service should not replace professional advice, therapy, or real human relationships
• Any emotional connections formed are parasocial in nature

We do not guarantee the accuracy, reliability, or appropriateness of AI-generated content. Users interact with AI characters at their own discretion.

4.1 All AI Characters Are Adults

All AI characters ("Muses") on Chatalystar are fictional adult characters who are 18 years of age or older. No AI character on our platform represents, depicts, or is intended to depict a minor under any circumstances.

• All character personas, backstories, and designs are created as legal adults
• Our content moderation systems prevent the generation of content involving minors
• Any attempt to use AI characters to simulate interactions with minors is strictly prohibited
• Violations will result in immediate account termination and may be reported to authorities

While Chatalystar is designed to provide engaging entertainment experiences, we recognize that emotional connections—even with AI—can affect your wellbeing. Please be mindful of the following:

• Not a Substitute: Our Service is NOT a substitute for professional mental health care, therapy, counseling, or medical advice
• Entertainment Only: AI characters are designed for entertainment and should not be relied upon for emotional support during crisis situations
• Healthy Boundaries: We encourage users to maintain healthy boundaries between AI interactions and real-world relationships
• Time Awareness: Be mindful of how much time you spend on the platform; take breaks regularly

4A.2 Signs You May Need Support

If you experience any of the following, please consider reaching out to a mental health professional:

• Difficulty distinguishing AI interactions from real relationships
• Neglecting real-world relationships or responsibilities
• Feeling distressed when unable to access the platform
• Using the platform to avoid dealing with real-life issues

4A.3 Crisis Resources

Chatalystar is not equipped to handle emergency situations. If you or someone you know is in immediate danger, please contact local emergency services.

5. Account Registration and Security

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account
• Not share, transfer, or sell your account to others

We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.

6. Subscriptions, Payments, and Cancellation

6.1 Subscription Plans

Chatalystar offers various subscription tiers with different features and pricing. Subscription details, including pricing and included features, are displayed at the time of purchase.

6.2 Automatic Renewal Disclosure

Your subscription will automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on file for recurring fees until you cancel.

• Monthly subscriptions: Renew on the same date each month
• Annual subscriptions: Renew on the same date each year
• Renewal charge: Occurs 24 hours before the end of the current period
• Price changes: We will notify you at least 30 days before any price increase

6.3 How to Cancel Your Subscription

You may cancel your subscription at any time through the following methods:

• In-App: Navigate to Settings → Subscription → Cancel Subscription
• Email: Send cancellation request to support@chatalystar.com with your account email
• Payment Provider: Cancel through your App Store or Google Play subscription settings if applicable

Cancellation takes effect at the end of your current billing period. You will retain access to premium features until that date. No partial refunds are provided for unused time within a billing period.

6.4 Refund Policy

Due to the digital nature of our Service:

• Within 7 days of initial purchase: Full refund available for first-time subscribers who have not extensively used the Service
• After 7 days: Refunds are considered on a case-by-case basis for extenuating circumstances
• Crystal purchases: Virtual currency purchases are non-refundable once Crystals have been added to your account
• Chargebacks: Disputed charges may result in account suspension pending investigation

To request a refund, email support@chatalystar.com with your account email, purchase date, and reason for request. We aim to respond within 5 business days.

7. Virtual Currency (Crystals)

Chatalystar features a virtual currency called "Crystals" (100 Crystals = $1 USD value for purchase purposes). By purchasing or earning Crystals, you agree to the following terms:

7.1 Nature of Crystals

• Crystals are virtual items with NO real-world monetary value
• Crystals represent a limited license to use a feature within our Service
• You do not own Crystals; you have a revocable license to use them
• Crystals are not redeemable for any sum of money or monetary value

7.2 Restrictions

• No Cash Out: Crystals cannot be exchanged, sold, or converted to real currency under any circumstances
• Non-Transferable: Crystal balances cannot be transferred between accounts, gifted, traded, or sold to other users
• Non-Refundable: All Crystal purchases are final; no refunds will be issued for purchased Crystals
• No Third-Party Sales: Selling or purchasing Crystals outside of our platform is prohibited and may result in account termination

7.3 Forfeiture and Expiration

• Account termination (voluntary or involuntary) results in immediate forfeiture of all Crystal balances
• Promotional or bonus Crystals may have expiration dates as specified at the time of grant
• Purchased Crystals do not expire while your account remains active and in good standing
• Accounts inactive for 12+ months may have Crystal balances subject to expiration with 30 days notice

7.4 Pricing and Modifications

We reserve the right to modify Crystal pricing, earning rates, and redemption values at any time. Changes apply prospectively to future transactions and do not affect previously purchased Crystals.

8. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Harass, abuse, threaten, or harm others
• Submit or transmit illegal, harmful, or objectionable content
• Attempt to bypass security measures or exploit vulnerabilities
• Use automated systems, bots, or scripts without authorization
• Reverse engineer, decompile, or extract source code
• Impersonate others or misrepresent your identity
• Engage in fraud, phishing, or deceptive practices
• Distribute spam, malware, or unsolicited communications
• Attempt to manipulate AI systems to generate prohibited content
• Share account access or resell Service features

9. Content and Intellectual Property

9.1 Our Content

All content, features, and functionality of the Service—including text, graphics, logos, icons, images, audio, video, software, AI models, character designs, and the overall look and feel—are owned by Chatalystar or its licensors and are protected by copyright, trademark, and other intellectual property laws.

9.2 Your Content

You retain ownership of content you create on the platform. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your content as necessary to operate and improve the Service.

9.3 AI-Generated Content

Content generated by AI characters in response to your interactions is created by our systems. Such content is provided for personal, non-commercial use within the platform.

You agree to indemnify, defend, and hold harmless Chatalystar and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or conduct on the platform

13. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. You may also delete your account at any time through account settings.

Upon termination:

• Your right to access the Service immediately ceases
• Any unused subscription time or Crystals may be forfeited
• Provisions that by their nature should survive termination will survive

14. Dispute Resolution and Arbitration

14.1 Informal Resolution First

Before filing any formal dispute, you agree to contact us at legal@chatalystar.com to attempt informal resolution. We will attempt to resolve disputes within 30 days of receiving your notice.

14.2 Binding Arbitration Agreement

If informal resolution fails, you and Chatalystar agree to resolve any disputes through final and binding arbitration instead of in court, except that either party may bring claims in small claims court if they qualify.

• Arbitration will be administered by JAMS or AAA under their applicable consumer rules
• Arbitration will take place in the English language
• The arbitrator's decision will be final and binding
• Judgment on the award may be entered in any court of competent jurisdiction

14.3 Class Action Waiver

14.4 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to legal@chatalystar.com within 30 days of creating your account. Your notice must include your name, account email, and a clear statement that you wish to opt out of the arbitration agreement.

14.5 Exceptions

This arbitration agreement does not prevent either party from seeking injunctive or other equitable relief in court for intellectual property disputes or unauthorized access to the Service.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Chatalystar operates, without regard to conflict of law principles.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and revising the "Last Updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

18. DMCA and Copyright Policy

Chatalystar respects the intellectual property rights of others and expects our users to do the same. All original content on our platform—including AI character designs, personas, backstories, artwork, logos, and platform features—is protected by copyright and owned by Chatalystar Inc. or its licensors.

18.1 Prohibited Actions

You may NOT, without prior written permission from Chatalystar:

• Copy, reproduce, or redistribute our AI character designs, images, or content
• Create derivative works based on our characters or platform features
• Use our content for commercial purposes, including competing services
• Scrape, download, or archive platform content systematically
• Claim ownership of any Chatalystar intellectual property
• Remove or alter any copyright notices or watermarks

18.2 DMCA Takedown Procedure

If you believe that content on our Service infringes your copyright, you may submit a DMCA takedown notice to our designated agent:

Your notice must include:

• Identification of the copyrighted work claimed to be infringed
• Identification of the allegedly infringing material and its location on our Service
• Your contact information (name, address, phone number, email address)
• A statement that you have a good faith belief that the use is not authorized by the copyright owner
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner
• Your physical or electronic signature

18.3 Counter-Notice Procedure

If you believe your content was removed in error, you may submit a counter-notice containing:

• Identification of the removed material and its former location
• A statement under penalty of perjury that you believe the material was removed by mistake
• Your name, address, phone number, and consent to federal court jurisdiction
• Your physical or electronic signature

18.4 Repeat Infringer Policy

We will terminate, in appropriate circumstances, accounts of users who are repeat copyright infringers. If you receive multiple valid DMCA notices, your account may be permanently suspended without refund.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Chatalystar regarding your use of the Service and supersede all prior agreements and understandings.

20. Communications & Marketing

By creating an account and accepting these Terms of Service, you expressly consent to receive communications from Chatalystar, including:

• Transactional emails: Account confirmations, password resets, purchase receipts, and security notifications
• Service updates: New features, character releases, platform changes, and important announcements
• Promotional communications: Special offers, exclusive events, Crystal bonuses, membership promotions, and personalized recommendations
• Engagement messages: Character interactions, streak reminders, achievement notifications, and community updates

We will send communications to the email address associated with your account. You may update your email preferences or unsubscribe from promotional emails at any time through your account settings or by clicking the "unsubscribe" link in any promotional email. Note that you cannot opt out of transactional or essential service communications while maintaining an active account.

By continuing to use the Service, you acknowledge and agree that your email address may be used for the purposes described above.
