Member-Creator Agreement

When a Member engages with a Creator (a verified "Star") on Chatalystar — including by tipping, unlocking content, or purchasing time-limited or exclusive media — the Member and the Creator enter into a direct contractual relationship with each other. Chatalystar Corporation ("Chatalystar") acts as a technology and payments intermediary, providing the platform, identity verification of Creators, the in-platform crystal balance, and dispute facilitation.

Chatalystar is not a party to the underlying Member-Creator contract for any given purchase or interaction, except as expressly set forth in this Agreement or in the Terms of Service.

• Members must be at least 18 years of age. Stars (verified human creators) must be at least 21 years of age.
• Stars must complete third-party identity and age verification (via Veriff) before publishing content or accepting payments.
• Access to sexually explicit content is gated behind Member identity and age verification through Veriff. See our 2257 Compliance Statement for details.
• Members and Stars are responsible for complying with the laws of their own jurisdiction regarding the content and conduct on the platform.

Member purchases on the platform are denominated in crystals, the in-platform balance unit. Crystals trade at a reference rate of 100 crystals = 1 USDC on Base. Crystals are not legal tender, are not redeemable for cash with Chatalystar, and have no value outside the platform except as expressly provided in this Agreement and the Terms of Service.

Creators set their own prices for tips, unlocks, drops, and exclusive content, subject to any minimums or maximums Chatalystar may impose to comply with payment processor or card-network requirements. Settlement to Creators occurs in accordance with the schedule and method described in the Creator Payouts policy linked from the platform. Settlement is instant: payouts are made on-chain in USDC on Base at the moment of purchase, with no scheduled payout cadence and no minimum payout threshold. Stars may withdraw at any time.

Members pay a 5% platform contribution fee on top of the listed price. Stars keep 100% of the listed price for their content and tips. Network gas fees, if any, are disclosed at the point of purchase.

Crystal purchases, in-platform unlocks, tips, gifts, and Chatalystar product purchases are generally final. A creator-directed payment confirmed through a decentralized smart contract is generally irreversible after settlement. This does not limit a cancellation, refund, chargeback, or other remedy required by applicable law. Chatalystar may review duplicate payments and technical billing or delivery errors, but no discretionary remedy is guaranteed.

Any Stardust offered in connection with support is discretionary virtual credit for use on Chatalystar. Stardust is not cash, a cash equivalent, withdrawable, or a guaranteed refund.

Chargebacks initiated without first contacting support@chatalystar.com may result in account suspension and may be disputed by Chatalystar with the relevant card network.

Members and Stars agree to interact respectfully and within the boundaries of consent. The following are prohibited and may result in suspension or termination:

• Solicitation or attempted solicitation of any conduct prohibited by our Content Policy or applicable law;
• Doxxing, stalking, harassment, threats, or unwanted contact off-platform;
• Sharing, resharing, screenshotting, or republishing another user's content without their explicit consent;
• Attempts to circumvent platform payment systems, identity verification, or age-gating; and
• Any communication or content involving minors, non-consensual acts, or trafficking, which will be reported to law enforcement.

When a Member purchases or unlocks content from a Star, the Member receives a limited, non-exclusive, non-transferable, revocable license to view that content within the platform for personal, non-commercial use. The Member does not acquire ownership, redistribution rights, or any right to download, copy, record, screenshot, or share the content outside the platform, except where expressly permitted in writing by both the Star and Chatalystar.

Stars retain ownership of their content and grant Chatalystar the operational license described in the Terms of Service to host, display, transmit, and otherwise process the content for the purpose of operating the Service.

Members and Stars agree to attempt to resolve disputes between themselves in good faith before involving Chatalystar. Where Chatalystar's involvement is required, the parties agree to cooperate with Chatalystar's good-faith review and any remedy described in the Terms of Service. Confirmed creator settlements are generally irreversible; a reversal is not promised and may be technically unavailable, but this Agreement does not waive legal remedies or Chatalystar's duplicate-payment and technical-error reviews.

The governing law and forum for disputes between a Member or Star and Chatalystar are set out in the Terms of Service. The governing law and forum for disputes between a Member and a Star are the Province of Ontario, Canada.

8. Independent Contractors

Stars are independent contractors and are solely responsible for their own taxes, business filings, recordkeeping (including under 18 U.S.C. § 2257 where applicable), and compliance with the laws of their jurisdiction. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between Chatalystar and any Star or Member.

9. Termination

This Agreement remains in force for so long as a Member or Star maintains an account on Chatalystar. Either party may terminate their account in accordance with the Terms of Service. Sections of this Agreement intended to survive termination — including those addressing licensing, payment finality, dispute resolution, and limitation of liability — will so survive.
